Thank you to everyone that attended or contacted us about the Annual General Meeting (AGM) of the BDA Benevolent Fund on Thursday 13 June 2019 at 3.30 pm. Over 30 Members learned about the last financial year, had an update from the Chairman and voted on future plans.
Over the last two years, governance arrangements were reviewed to bring the organisation up to date; clarify a number of areas where the provisions were unclear or irrelevant, ensuring the charity is effective and efficient now, as well as being fit for the future. Therefore, a number of resolutions to make changes to the governing document (the ‘Rules’) were put forward.
The four main proposals amending the charity’s governing document were;
- Resolution one: To amend the Objects (i.e. the purpose of the charity) to clarify that applicants must be living in the UK to be eligible for support. This has been agreed with by the Charity Commission and does not change how or who we currently help Dental Students, Dentists and their families in financial need.
- Resolution two: to clarify the wording in relation to the current arrangement that; Members of the BDA are also Members of the BDA Benevolent Fund, and to add two additional categories of Membership; to Trustees for governance purposes; and a Partnership Membership category to invite ex-beneficiaries, donors and supporters who are not BDA Members
- Resolution three: to simplify the structure and the composition of the Board, and to clarify the process of recruitment and election of Trustees as well as creating a term of office
- Resolution four: some administration and procedural changes, for example, clarifying proceedings at meetings, allowing those who can’t attend AGM or EGMs to vote remotely (via proxy voting) and reducing the time scale for amendments at AGM to be more relevant and appropriate.
These were all unanimously agreed and the new Rules approved. Further information and documents for the meeting are below.
The next meeting has been scheduled to take place on Thursday 11 June 2020. However, we welcome feedback about preferred dates and times so that we can ensure all those that are interested in attending are accommodated as much as possible.
